Partner Program Terms

This is a single agreement covering everyone who earns from, resells, promotes, or manages fleets through Vtag on a business basis: BD Agents, Business & Channel Partners, Community Partners, Fleet Partners, Creators & Influencers, Advertisers, and Referral Partners (together, "Program Participants", and each category a "Partner Type"). Part A is the same for every Partner Type. Part B holds only what is genuinely different per Partner Type — commission rates, minimum order quantities, and onboarding depth. Where Part B conflicts with Part A for your Partner Type, Part B controls.

This document sits alongside, and does not replace, our master Terms of Service, which governs every use of the Vtag platform, including as a Program Participant. Section 17 of the Terms of Service refers you here for the detail.

Part A — General Terms

Applies to every Partner Type unless Part B says otherwise for yours.


A2. Definitions

  • "Program" — collectively, the BD, Business & Channel Partner, Community Partner, Fleet Partner, Creator/Influencer, Advertiser, and Referral programs.
  • "Lead" — a prospective customer's contact details and interest, however sourced, entered into Vtag's systems.
  • "Customer" — an individual or organisation who purchases a Vtag product, whether or not they originated as your Lead.
  • "Commission" — the amount payable to you for a qualifying sale, calculated per Part B for your Partner Type.
  • "QR Batch" — a set of Vtag Tags allocated to you for activation or resale, tracked by batch ID in your dashboard.
  • "Agreement Acceptance" — your electronic acceptance of these Terms and any Partner-Type-specific agreement, recorded with a timestamp, required before onboarding can complete.
  • "KYC" — the identity and bank-account verification described in Section A4, required before we release any Commission payout to you.

"Channel Partner" is not a separate onboarding category from "Business Partner" — the same Partner Type and Schedule 2 covers both terms.


A4. Eligibility & onboarding

You must be at least 18 years old and capable of entering into a binding contract under the Indian Contract Act, 1872. Organisations must have authority to bind the entity applying. Every Partner Type except Referral Partners (Schedule 7) must complete:

  • An application, reviewed and approved by Vtag at our discretion — enrolment is not automatic on application.
  • Agreement Acceptance of these Terms and any Partner-Type-specific agreement.
  • KYC: PAN, bank account details for payout, and a government-issued identity document. Where Aadhaar is offered as that identity document, providing it is voluntary and one of several accepted options — we do not require Aadhaar as the sole or mandatory proof of identity, consistent with Section 7 of the Aadhaar (Targeted Delivery of Financial and Other Subsidies, Benefits and Services) Act, 2016 and applicable UIDAI circulars on voluntary use by private entities. Where you do provide Aadhaar, we accept masked or offline Aadhaar (XML/QR) rather than requiring the full Aadhaar number, and use it solely for identity verification.

BD Agents complete an additional structured onboarding checklist before activation — see Schedule 1. We may decline, delay, or revoke onboarding at any stage if KYC information cannot be verified, appears fraudulent, or if we have a bona fide concern about fraud risk.


A5. Independent contractor relationship

You participate in the Program as an independent contractor, not as an employee, agent (in the legal sense of having authority to bind Vtag), partner, or franchisee of Vtag. You have no authority to make representations, sign contracts, or accept payment on Vtag's behalf beyond what your Partner Type's Schedule expressly authorises. You are solely responsible for your own income tax, GST registration and filings (Section A7), business licences, and any labour-law obligations you owe to your own staff or sub-agents, if any. Nothing in these Terms creates a joint venture, or makes Vtag liable for your acts beyond what these Terms expressly assume.


A6. Lead ownership & customer ownership

Leads and customers belong to Vtag

A Lead you generate, and any Customer who results from it, is a Vtag customer relationship — not your personal book of business. "Ownership" language elsewhere in these Terms (for example, "your Lead") refers to commission attribution, not legal or proprietary ownership of the customer relationship or their data.

  • A Lead is attributed to you for Commission purposes based on the attribution rules for your Partner Type (Part B) — typically the Participant who first submitted or was assigned the Lead, provided a qualifying sale closes within the applicable attribution window.
  • We may reassign, reclaim, or share a Lead across Participants where attribution is disputed, where a Lead has gone stale (no contact within a reasonable period), or where fraud is suspected (Section A14).
  • You may not contact a Customer outside Vtag-authorised channels for any purpose other than completing the specific sale or service they engaged you for, and may not add a Vtag Customer to your own marketing list, CRM, or a competing product's funnel.
  • On termination of your enrolment, your right to be attributed future Commission on a Lead or Customer ends; it does not transfer to you, and outstanding attribution disputes are resolved under Section A20.

A7. Commissions & payouts

  • Commission rates, tiers, and minimum order quantities for your Partner Type are set out in Part B, and are also visible live in your dashboard — the dashboard figure is authoritative if it ever differs from this document, since rates are configured centrally and this document may lag a rate change until its next update.
  • Commission is earned on a completed, paid sale attributed to you, and becomes payable only after that sale's applicable refund window (see our Refund, Shipping & Subscription Policy) has passed without a refund, cancellation, or successful chargeback.
  • We pay Commission on a monthly cycle by NEFT/UPI to the bank account verified during KYC, net of any TDS we are required to deduct under the Income Tax Act, 1961. We will provide the documentation needed for you to claim TDS credit.
  • If you are GST-registered, you are responsible for raising a compliant GST invoice to Vtag for your Commission where applicable, and for your own GST filings and payment. We do not gross up Commission for GST you are separately liable to remit.
  • We may withhold, reverse, or claw back Commission already paid where the underlying sale is refunded, charged back, found fraudulent, or where the Lead or Customer was obtained in breach of these Terms (Section A14).
  • Milestone bonuses (Schedule 1) are paid once per milestone reached within the stated activation window and are not cumulative across tiers you have already passed.

A8. Pricing & campaigns

Vtag sets all customer-facing pricing. You may not alter, discount, bundle, or misrepresent pricing to a Customer without our prior written authorisation — including implying a price is temporary, negotiable, or exclusive to you when it is not. Bulk/volume pricing tiers, where applicable to your Partner Type, are the ones published in your dashboard or communicated to you in writing, not any figure from an earlier conversation or an out-of-date document.

We may run time-bound campaigns (promo codes, seasonal pricing, bonus commission windows) specific to a Partner Type or individual Participant. Campaign terms are disclosed when the campaign launches, apply only for its stated window, and do not modify these Terms beyond that window. You may not run your own paid advertising campaign using Vtag's name, trademarks, or product imagery without approval under Section A9.


A9. Branding & marketing rules

  • You may use the Vtag name and approved brand assets only as permitted in our brand guidelines (available on request from partners@getvtag.com), and only to promote genuine Vtag products.
  • You may not make any claim about Vtag that we have not made ourselves — in particular, you may not describe Vtag as insurance, a security or anti-theft device, or an emergency-dispatch service, consistent with our Terms of Service Section 4.
  • Any paid, public, or large-reach campaign (including boosted social posts, print, or outdoor media) using Vtag branding requires our written approval before it runs.
  • You may not leak, publish, or discuss internal Vtag pricing, commission rates, or unreleased features outside what is publicly available on getvtag.com, except with your own Customer solely to complete a sale.

A10. Reporting & data access

Your dashboard shows your own Leads, sales, and Commission history. You may not attempt to bulk-export, scrape, or access another Participant's data, or Vtag Customer data beyond what is necessary to service a Lead attributed to you. We may request additional reporting from you (for example, a Fleet Partner's vehicle list, or an Advertiser's campaign performance) to verify Commission calculations or contractual compliance.


A11. Confidentiality

Commission rates, internal pricing, unreleased product or feature information, other Participants' identities and performance, and any non-public information we share with you in the course of the Program are confidential. You agree not to disclose this information to any third party, or use it for any purpose other than performing under these Terms. This obligation survives termination of your enrolment for as long as the information remains genuinely confidential.


A12. Data protection

Where we share Lead or Customer contact information with you to complete a sale or provide service, you act as a limited recipient of that personal data for that purpose only, and must handle it consistently with the Digital Personal Data Protection Act, 2023 and our Privacy Policy. You may not retain, sell, further share, or use that data beyond the specific sale or service it was provided for, and must delete it from your own systems on our request or on termination of your enrolment, whichever is earlier.


A13. Code of conduct

  • Deal honestly with Customers — no false urgency, no impersonating Vtag staff or officials, no claiming an affiliation you don't have.
  • No harassment, coercion, or high-pressure tactics to close a sale.
  • No bribery or unlawful inducement of Customers, officials, or gatekeepers (for example, a society secretary) to secure access or sales — this includes compliance with the Prevention of Corruption Act, 1988 where a Customer or gatekeeper is a public servant.
  • No reselling below or materially above the pricing you are authorised to quote under Section A8.
  • Comply with local law governing your sales activity, including any municipal licensing requirement for door-to-door or public-space selling that applies in your area.
  • Comply with the Consumer Protection Act, 2019 and its rules on misleading advertisements and unfair trade practices in everything you tell a Customer about Vtag.

A14. Fraud prevention

We monitor for, and treat as a serious breach: self-referral (registering yourself or a household/business member as a Customer to earn Commission on your own purchase), fabricated or duplicate Leads, coordinated "churn and burn" activation-then-cancellation patterns designed to earn Commission before a refund lands, and any misuse of a QR Batch (Section A16) to generate Commission without a genuine sale. We may audit your activity, request supporting evidence for a Lead or sale, withhold Commission pending investigation, and claw back Commission already paid where fraud is confirmed, in addition to suspension or termination under Section A17 and referral to law enforcement where the conduct is criminal under the Information Technology Act, 2000 or the Bharatiya Nyaya Sanhita, 2023.


A15. Non-solicitation

During your enrolment and for 12 months after it ends, you agree not to: solicit a Vtag Customer you serviced through the Program to a competing product; solicit another Program Participant to leave Vtag for a competing program; or solicit a Vtag employee or contractor to end their engagement with Vtag. This does not restrict your ability to run an otherwise unrelated business, only solicitation directed at Vtag's Customers, Participants, or people, using relationships or information you gained through the Program.


A16. Intellectual property

Vtag Tags, QR codes, and QR Batches remain Vtag's property until activated to a Customer account, and the underlying software, brand, and platform remain Vtag's property at all times, as set out in our Terms of Service Section 18. Your participation in the Program grants you only the limited, revocable brand licence described in Section A9 — nothing here transfers any Vtag intellectual property to you, and nothing here gives Vtag ownership of your own pre-existing brand, content, or business, except to the extent you license content to us under a Partner-Type-specific agreement (for example, a Creator licensing a piece of promotional content for our use, agreed separately and in writing).


A17. Suspension & termination

Either party may terminate your enrolment for convenience with 30 days' written notice. We may suspend or terminate immediately, without notice, for: breach of Part A or your Part B Schedule; fraud or suspected fraud (Section A14); conduct that damages the Vtag brand or endangers a Customer; blacklisting following an investigation; or non-payment of any amount you owe us. On termination:

  • Any Commission properly earned and not subject to a pending dispute or clawback will be paid on the next regular payout cycle.
  • Unactivated Vtag Tags in an assigned QR Batch must be returned or deactivated on request.
  • You must stop using Vtag branding immediately.
  • Sections A11 (confidentiality), A12 (data protection), A15 (non-solicitation), A16 (intellectual property), A19 (liability), and A20 (dispute resolution) survive termination.

A18. Term & renewal

Your enrolment begins on Agreement Acceptance and continues until terminated under Section A17. There is no fixed term or automatic renewal fee — enrolment is ongoing, subject to your continued compliance with these Terms and, where applicable, any minimum-activity threshold disclosed for your Partner Type.


A19. Liability, indemnity & force majeure

Our Terms of Service Sections 25 (limitation of liability), 26 (indemnification), and 27 (force majeure) apply fully to your participation in the Program, in addition to the following: you agree to indemnify Vtag for any claim arising from your conduct as a Participant, including a Customer complaint about how you sold or represented Vtag, your breach of Section A13 (code of conduct), or your handling of Customer data in breach of Section A12.


A20. Dispute resolution & governing law

Disputes under these Terms — including Commission and attribution disputes — are governed by the same process as our master Terms of Service Section 31: Indian law, informal resolution first, then arbitration seated in Hyderabad under the Arbitration and Conciliation Act, 1996, without prejudice to any right you hold as a consumer to approach a Consumer Disputes Redressal Commission.


A21. General provisions

Severability, entire agreement, assignment, waiver, and notices provisions are as set out in our Terms of Service Section 32, which apply equally to these Terms. You may not assign your enrolment to another person or entity without our written consent. We may amend these Terms with notice to active Participants; continuing to earn Commission after an amendment takes effect is acceptance of it.


Part B — Category Schedules

Each Schedule below adds to, and does not repeat, Part A. If your Partner Type isn't listed, Part A alone governs your enrolment until a Schedule is published for it.


Schedule 1: BD Agents

A BD (Business Development) Agent sells Vtag directly — door-to-door, through social media, through an existing business relationship, or via referrals — and is the most structured Partner Type, closest to an active sales role.

Tiers are based on your cumulative lifetime activation count and apply going forward as you cross each threshold — reaching a new tier does not retroactively change Commission already paid at a lower tier. Current rates are always the ones shown in your dashboard; the table above reflects rates as of the "Last updated" date on this page.

Onboarding

Beyond the KYC in Section A4, activation as a BD Agent requires completing our onboarding checklist: mobile and email verification, PAN and bank details submission, identity verification, Agreement Acceptance, product training, and issuance of your BD ID and payment code. We review and approve every application before onboarding begins — submitting an enquiry does not itself create an agency relationship.


Schedule 2: Business & Channel Partners

  • Commission: ₹299 per qualifying sale.
  • Minimum order quantity: 100 units.
  • Bulk pricing tiers you resell at follow the tiers published on our Pricing page for your order size — you do not set your own wholesale price without our written agreement.
  • A Business/Channel Partner enrolling 25 or more units at once, or seeking bespoke pricing, is directed to our Partner inquiry process rather than the standard bulk tiers.

Schedule 3: Community Partners

  • Commission: ₹149 per qualifying sale.
  • Minimum order quantity: 50 units.
  • Typically a housing society, resident welfare association, or community organisation coordinating Vtag adoption among its members — you are not authorised to make the purchase decision on an individual resident's behalf without their own consent and payment.

Schedule 4: Fleet Partners

  • Commission: ₹199 per qualifying sale.
  • Minimum order quantity: 20 units.
  • Each vehicle in a fleet is activated to its own Vtag account under our standard Terms of Service — a Fleet Partner coordinating bulk onboarding does not itself become the Account Holder for vehicles it does not own, unless it is the registered owner (for example, a rental or logistics fleet operator).

Schedule 5: Creators & Influencers

  • Commission: ₹99 per qualifying sale, no minimum order quantity.
  • Every piece of content promoting Vtag (post, video, story, live stream) must carry a clear and prominent disclosure of your material connection to Vtag — for example "#ad", "#collab", or "#vtagpartner" — consistent with the Advertising Standards Council of India's Guidelines for Influencer Advertising in Digital Media. The disclosure must be easy to notice, not buried in a hashtag block or an expandable description.
  • You are responsible for the accuracy of any claim you make about Vtag in your content; claims must match what our Terms of Service Section 4 actually says the product does, particularly around safety and "protection" claims.
  • We may request that specific content be corrected or taken down where it misrepresents Vtag, and may decline to pay Commission on sales attributed to content that was live in breach of this Schedule.

Schedule 6: Advertisers

Advertisers do not earn Commission — you pay Vtag for advertising inventory. Part A's branding, confidentiality, code of conduct, and dispute-resolution sections still apply to you as a Program Participant.

  • Minimum monthly spend, current inventory, and rate card are as published to you at the time you enrol — see our Advertise page or contact ads@getvtag.com for current figures.
  • Inventory is limited to the post-scan confirmation page and other placements we designate — we do not run banner ads or interstitials across the core scanning or Alert flow.
  • Targeting is limited to geography and vehicle class. We do not offer, and will not build, targeting based on an individual Owner or Scanner's personal data, consistent with our Privacy Policy.
  • Every creative is reviewed and approved by us before it goes live; we may reject or pull a creative at any time that violates this Schedule or applicable advertising law.
  • Prohibited categories: gambling and betting, adult content, predatory or unregulated lending, political advertising, tobacco and related products, and any category prohibited under the Consumer Protection Act, 2019 or applicable sector-specific advertising codes.

Schedule 7: Referral Partners

A Referral Partner is an existing Vtag Customer using the Invite & Earn feature in their dashboard to refer friends and family. This is materially lighter-weight than every other Partner Type above:

  • No separate application, Agreement Acceptance, or KYC — your existing Vtag account and its Terms of Service govern.
  • You earn a reward credit (not a cash Commission) for each successful referral, on the terms shown in your dashboard's Invite & Earn section at the time of referral.
  • Sections A9 (branding), A11 (confidentiality), A13 (code of conduct), and A14 (fraud prevention) still apply — in particular, referring yourself, a duplicate account, or a fabricated contact to earn reward credit is fraud under Section A14.
  • We may adjust the reward structure at any time with notice in your dashboard; it is not a fixed contractual entitlement the way a BD Agent or Partner Commission tier is.
