Terms of Service

These Terms of Service ("Terms") are a binding agreement between Vtag Connect Private Limited("Vtag", "we", "us", "our"), a company incorporated under the Companies Act, 2013 (CIN: U63991TS2025PTC200462), and you — whether you hold a Vtag account, scan a Vtag QR code as a member of the public, or otherwise use getvtag.com, our mobile-optimised web applications, our dashboards, or any service we brand as Vtag (together, the "Platform" or the "Services").

We have written these Terms in plain English wherever the law allows it, because we would rather you actually read them than skim past a wall of boilerplate. Plain language does not make a clause less binding — it is still a full legal agreement, enforceable under the laws of India as set out in Section 31.

1. Introduction & acceptance

By creating a Vtag account, activating a Vtag QR sticker, purchasing any Vtag product, scanning a Vtag QR code and submitting an alert, or otherwise accessing the Platform, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, our Refund, Shipping & Subscription Policy, and our Acceptable Use Policy (together, the "Policies"), each incorporated into these Terms by reference. If you do not agree, do not use the Platform.

If you are using the Platform on behalf of a company, fleet operator, or other organisation, you represent that you have authority to bind that organisation, and "you" in these Terms refers to that organisation as well as you personally.


2. Definitions

  • "Account Holder" or "Owner" — a person or organisation that has registered a Vtag account and activated one or more Vtag QR stickers to a vehicle.
  • "Public Scanner" or "Scanner" — any member of the public who scans a Vtag QR sticker to send an Alert, whether or not they hold a Vtag account.
  • "Vtag Tag" or "Sticker" — the physical QR-coded sticker or tag supplied by Vtag and affixed to a vehicle.
  • "Alert" — a message relayed through the Platform from a Scanner to an Owner following a QR scan, classified by us as Normal, Urgent, or Emergency priority.
  • "Emergency Alert" — an Alert flagged Emergency priority, which additionally requires Scanner identity verification, a live selfie, and (where granted) location data, as described in Section 14.
  • "Subscription" — a recurring, auto-renewing Vtag product (currently the Protection Plan and the Message Pass), billed on the schedule disclosed at checkout.
  • "Content" — any message, photo, selfie, custom text, or other material submitted through the Platform by an Owner or a Scanner.
  • "Program Participant" — any person or entity enrolled in our Referral, Business Development (BD), Partner, Business Partner, Influencer, Advertiser, or Fleet programs.
  • "Personal Data" has the meaning given to it in our Privacy Policy and, where applicable, the Digital Personal Data Protection Act, 2023 ("DPDP Act").

3. Eligibility & account registration

You must be at least 18 years old and capable of entering into a binding contract under the Indian Contract Act, 1872 to create a Vtag account or purchase a Subscription. Public Scanners submitting an Emergency Alert must also confirm they are 18 or older as part of the consent flow described in Section 14.

When you register, you agree to provide accurate, current information (including a mobile number you control) and to keep it up to date. You are responsible for maintaining the confidentiality of your account PIN and for all activity that occurs under your account. Tell us immediately at support@getvtag.com if you suspect unauthorised access.

By registering a vehicle, you represent that you are the owner of that vehicle, or that you have the owner's express authorisation to activate a Vtag Tag on it and to receive Alerts on their behalf. Registering a vehicle you have no right to register is a breach of these Terms and may constitute fraud or misrepresentation under applicable law.

One account per person for personal use. Fleet operators and businesses managing multiple vehicles should use our Fleet Program (Section 17) rather than creating duplicate individual accounts.


4. What Vtag is — and is not

Vtag is an anonymous communication relay. A Vtag Tag lets a stranger notify you about your vehicle — a blocked driveway, headlights left on, an accident, a suspicious situation — without either party seeing the other's phone number. That is the entire function of the product.

Vtag is not

  • A security device, anti-theft device, alarm, or vehicle tracker. Vtag Tags do not contain GPS chips, cameras, or any hardware capable of locating or monitoring your vehicle.
  • Insurance, a warranty, or a guarantee against theft, damage, vandalism, or loss. The word "Protection" in VTAG Protection Plan refers to the communication service (being notified quickly) — it is not a promise that your vehicle will be protected, recovered, or kept safe.
  • An emergency service. Vtag does not dispatch police, ambulances, fire services, or roadside assistance. See Section 14.
  • A substitute for calling 100 (Police), 108 (Ambulance), 112 (National Emergency Number), or your insurer in a genuine emergency.
  • A guarantee that any Alert will reach the Owner, or that the Owner will respond, within any particular time — or at all. See Section 13.

We built Vtag to make it faster and less awkward for a stranger to reach you about your vehicle. We have not built it, marketed it, or priced it as a substitute for insurance, physical security, or emergency response, and you agree not to rely on it as one.


5. Our products & services

The Platform currently offers the products below. Current prices are always the ones shown at checkout on getvtag.com, not any figure quoted elsewhere (including in marketing material, prior correspondence, or earlier versions of this page) — see Section 9 on price changes.

  • VTAG Protection Plan — an annual Subscription covering one Vtag Tag activation, Alert relay (Normal/Urgent/Emergency), and dashboard access for that vehicle.
  • QR Stickers — the physical Vtag Tag shipped to you and bound to your account on activation.
  • VTAG Message Pass — an annual Subscription enabling Anonymous Messaging on an activated vehicle without the full Protection Plan bundle.
  • Single Custom Message — a one-time, pay-per-use custom Alert, priced and billed independently of any Subscription.
  • Replacement Sticker — a one-time purchase reissuing a Vtag Tag on the same account when the original is lost, damaged, or unreadable.
  • Emergency Alerts — the elevated-priority Alert flow described in Section 14, available to any Scanner regardless of whether the vehicle carries a Subscription.
  • Public Scanner Portal — the anonymous, OTP-gated interface a Scanner uses to submit an Alert. See Section 6.
  • Customer Dashboard — the Owner-facing interface for managing vehicles, Subscriptions, Alerts, and account settings.
  • Referral, BD, Partner, Business Partner, Influencer, Advertiser, and Fleet Programs — described in Section 17.
  • APIs and AI-assisted features — not generally available as of the date of these Terms. Where we do enable them, Sections 22 and 23 apply in addition to any separate agreement we require you to accept.

We may add, modify, rebrand, bundle, or discontinue any product with reasonable notice published on the Platform. Discontinuing a product does not affect Alerts, data, or refund rights that arose before the change. Nothing in this section limits our ability to launch products not listed here — Section 30 governs how changes and additions are communicated.


6. Public Scanners (anonymous users)

This section summarises Scanner obligations. Full detail — including the exact consent language shown in the app and precise data-retention windows — is in our Public Scanner & Emergency Alert Terms, incorporated into these Terms by reference.

You do not need a Vtag account to send an Alert. You do need to complete OTP verification. Before submitting any Alert, every Scanner must:

  • Provide their full name and a mobile number they control.
  • Verify that mobile number with a one-time password sent by SMS or WhatsApp.
  • Accept the consent notice shown at the point of verification, which explains how their identity will and will not be used (also summarised in Section 20).

A successful verification may be remembered on your device for a limited trusted-session window so you are not asked to re-verify on every scan. We may shorten, extend, or revoke this window at any time, including for a specific device or number we consider high-risk.

Your identity is never shown to the Owner

Your name, mobile number, device information, and IP address are visible only to authorised Vtag administrators, are used only for verification, abuse prevention, and — where legally compelled — cooperation with law enforcement (Section 29). The Owner never sees this information through the Platform.

Providing false information is a serious matter

Entering a false name, using a mobile number you do not control, or submitting a false or exaggerated report (especially an Emergency Alert) is a breach of these Terms. Depending on severity, it may also constitute an offence under the Bharatiya Nyaya Sanhita, 2023 (including provisions on criminal intimidation, mischief, and false information given with intent to cause harm) or the Information Technology Act, 2000. We log every Alert with the verified identity behind it, we cooperate with police investigations into misuse, and we permanently block repeat or serious offenders from the Public Scanner Portal.


7. Owner / Account Holder responsibilities

Scanners have obligations under Section 6. Owners have obligations too — Vtag is a two-sided relay, and it only works fairly if both sides hold up their end. As an Owner, you agree to:

  • Keep your Tag correctly assigned. Make sure the vehicle a Vtag Tag is physically affixed to matches the vehicle it is activated against in your account, and follow the transfer process in Section 8 when that changes.
  • Respond in good faith. Alerts exist so someone can reach you about your vehicle. We ask that you engage with Alerts reasonably and in good faith — Vtag relays the message; what you do with it is your decision and your responsibility, subject to Section 25 (limitation of liability).
  • Do not try to unmask a Scanner. Do not use the content, timing, location, or any other detail of an Alert to attempt to identify, contact outside the Platform, confront, retaliate against, or publicly expose the Scanner who sent it. This applies even where you believe an Alert was sent in bad faith — report suspected misuse to us instead (Section 16), rather than acting on it yourself.
  • Keep Alert content and evidence confidential. Photos, selfies, and incident details you receive through an Emergency Alert are provided to help you understand and respond to that specific situation. Do not publish, screenshot for public posting, or otherwise redistribute them in a way that could identify or embarrass a Scanner, a bystander, or anyone else who appears in that content, beyond what is reasonably necessary to report an incident to police, your insurer, or Vtag.
  • Only register emergency contacts with their knowledge. If you add an emergency contact to your account, you confirm you have their permission to be listed and to receive Emergency Alert selfie, location, and incident data on your behalf, as described in our Public Scanner & Emergency Alert Terms.
  • Maintain your own vehicle security. A Vtag Tag is a notification layer, not a lock, alarm, or tracker — see Section 4. You remain responsible for whatever physical and insurance-based security measures you choose for your vehicle.
  • Report misuse. If you receive a harassing, spam, or clearly fabricated Alert, report it to abuse@getvtag.com rather than responding to it directly — this is both safer for you and lets us act on the underlying Scanner account under Section 16.

Breach of this section is a breach of these Terms and may result in suspension or termination of your account under Section 28, in addition to any liability you hold under Section 26 (indemnification) for harm caused to a Scanner or third party as a result.


8. QR stickers: activation, transfer & duplication

A Vtag Tag is a physical good and, once shipped, is governed by the Sale of Goods Act, 1930 in addition to these Terms. Ownership of the physical sticker does not by itself entitle you to Alert relay — the Tag must be activated on a Vtag account, and an active Subscription or valid one-time credit must cover the relay service, before Alerts will reach you.

  • One Tag, one vehicle, one account at a time. A Tag can be reassigned to a different vehicle or transferred to a new account only through the dashboard's official transfer flow (where available) or by contacting support — never by simply peeling and re-applying the sticker, which does not update our records.
  • Selling your vehicle. Deactivate or transfer the Tag before handing over the vehicle. An Owner remains responsible for Alerts routed to their account until deactivation or transfer is confirmed in the dashboard.
  • Duplication and counterfeiting are prohibited. Reproducing, cloning, printing, or manufacturing a Vtag QR code or Tag outside of Vtag's own supply chain is prohibited, may infringe our intellectual property (Section 18), and — where used to intercept or misdirect Alerts intended for a genuine Owner — may constitute fraud.
  • Lost or stolen vehicles. Report the loss to police and to us. We can deactivate the associated Tag on request to stop further Alerts being routed to you, but Vtag has no ability to locate, track, or recover a vehicle — see Section 4.

9. Subscriptions, auto-renewal & pricing

The Protection Plan and Message Pass are Subscriptions that renew automatically at the end of each billing period until you cancel. Renewal is charged via a UPI AutoPay mandate set up through Razorpay Subscriptions at the time of purchase.

  • Your first-year price and your renewal price may differ, and will always be disclosed before you authorise the mandate. A lower renewal price is not a discount you can retroactively apply to a first purchase, and a first-year promotional price is not guaranteed at renewal.
  • We will notify you at least 24 hours before any AutoPay debit, as required by NPCI rules for e-mandates.
  • You can cancel a Subscription at any time from your dashboard. Cancellation stops future renewals; it does not itself end access early — access continues until the end of the period you already paid for, then the associated Tag stops relaying Alerts.
  • If a renewal payment fails, we retry per our payment-processor's standard retry schedule and notify you by WhatsApp, SMS, and email. If payment is not recovered, your Subscription enters a grace period of up to 60 days before Alert-relay functionality is suspended. We do not delete your account or vehicle data during the grace period.
  • A UPI AutoPay mandate is valid for a maximum of 5 years per NPCI rules; we will prompt you to re-authorise before expiry if you wish to continue.
  • We may change the price of any product, including renewal pricing, with notice published on the Platform and, for an active Subscription, communicated to you before it next renews at the new price. Continuing your Subscription past that renewal constitutes acceptance of the new price; cancelling before renewal avoids it.

10. Payments, taxes & payment processing

All payments on the Platform are processed by Razorpay, a licensed payment aggregator. We do not store your full card, UPI, or net-banking credentials on our servers. Prices are stated in Indian Rupees (₹) and, unless stated otherwise, are exclusive of applicable GST, which is added at checkout and shown on your invoice — for example, a Single Custom Message is priced at ₹19 + GST.

As the Platform expands, we may in future support additional currencies or payment methods for customers outside India; where we do, currency conversion, cross-border card fees, and any additional terms will be disclosed before you pay.

You are responsible for ensuring your payment method has sufficient funds and remains valid. Repeated payment failures, disputed transactions you knew to be valid, or attempts to obtain the Services without payment are treated as a breach of these Terms under Section 16.


11. Refunds, cancellations & chargebacks

Refunds, the return window, and replacement pricing are governed by our Refund, Shipping & Subscription Policy, which forms part of these Terms. In short: cancelling a Subscription stops future renewals but does not itself generate a refund for the current period, except where that policy's refund windows apply.

If you believe a charge is incorrect, contact support@getvtag.com before filing a chargeback with your bank or card network. Filing a chargeback for a charge you authorised and received value for — rather than raising it with us first — is treated as chargeback abuse. We contest unfounded chargebacks with the transaction and consent records we hold, and we may suspend the account or Tag associated with repeated or fraudulent chargebacks under Section 28.


12. Shipping & delivery

Physical products (Vtag Tags and Replacement Stickers) are shipped per our Refund, Shipping & Subscription Policy. We use third-party courier partners; delivery estimates are just that — estimates, not guarantees. We are not liable for delays, misdelivery, or loss caused by a courier partner once a shipment has been handed to them, though we will work with you and the courier to resolve it, and that policy's damaged-in-transit process applies regardless of fault. Make sure your shipping address is complete and accurate; redelivery due to an incorrect address you supplied may incur additional shipping charges.


13. Notifications: WhatsApp, SMS & voice

We deliver Alerts to Owners via WhatsApp, SMS, and — for Urgent and Emergency Alerts — voice calls, in that order of escalation. We do not send email notifications for Scanner-generated Alerts; email is reserved for account, billing, and security notices, which you will continue to receive.

  • WhatsApp delivery depends on Meta's WhatsApp Business Platform, which we do not control and which can experience outages, delays, or delivery restrictions outside our control.
  • SMS and voice delivery depend on telecom carriers and are subject to the same limitations, including network congestion, DND (Do Not Disturb) registrations, and regional outages.
  • GPS and location data submitted by a Scanner (where provided) reflect that device's own location accuracy at the time of submission, which can be imprecise, especially indoors, in dense urban areas, or with location services restricted.
  • We do not guarantee that any Alert reaches you within any particular time, or at all, and we are not liable for an Owner's inability to respond, or a Scanner's inability to reach the Owner, once an Alert has been correctly submitted for delivery.

If timely notification matters to you in a given moment, do not rely solely on the Platform — see Section 14 for what to do in a genuine emergency.


14. Emergency Alerts — important safety information

Read this before you rely on Vtag in an emergency

Vtag is not connected to police, ambulance, fire, or any emergency dispatch system. If anyone is in danger, injured, or a crime is in progress, call 112(or 100 for Police, 108 for Ambulance) first. Only use an Emergency Alert to notify the vehicle's owner — it does not summon help.

An Emergency Alert additionally requires the Scanner to complete a live selfie capture, may request incident photos, and may request GPS location, each with its own explicit consent step. We collect these to give the Owner and, where registered, the Owner's emergency contacts enough context to respond appropriately, and to deter false reports. The exact consent language, retention windows, and Scanner obligations are set out in full in our Public Scanner & Emergency Alert Terms.

  • The selfie and location are shared only with the Owner and their registered emergency contacts, only for that specific Alert, and only after the Scanner's explicit consent. They are not shown to any other Scanner or made public — and the Owner's obligation not to redistribute this content is set out in Section 7.
  • Submitting a false, exaggerated, staged, or malicious Emergency Alert is a serious breach of these Terms. Beyond the account consequences in Section 16, it may constitute an offence under the Bharatiya Nyaya Sanhita, 2023 or the Information Technology Act, 2000, and we cooperate fully with police investigating such reports.
  • We retain Emergency Alert records, including evidence, for the period set out in our Privacy Policy, and longer where a report is connected to an active police investigation or legal proceeding.
  • We are not liable for an Owner's action or inaction after receiving an Emergency Alert, for a Scanner's decision to wait for the Owner rather than call emergency services, or for any outcome of the underlying incident itself. Vtag relays information; it does not manage, direct, or guarantee any emergency response.

15. Acceptable use & user content

Detailed rules on prohibited conduct, content moderation, and abuse reporting are set out in our Acceptable Use Policy, incorporated into these Terms. At minimum, you agree not to use the Platform to harass, threaten, stalk, or surveil anyone; to send spam or commercial solicitation through an Alert; to impersonate a person, authority, or organisation; to submit content that is unlawful, hateful, sexually exploitative of a minor, or otherwise illegal under Indian law; or to attempt to identify or de-anonymise a party the Platform is designed to keep anonymous (Scanner or Owner alike — see also Section 7).

You retain ownership of Content you submit. By submitting it, you grant Vtag a licence to store, process, transmit, and — strictly as necessary to operate the Platform, investigate abuse, or comply with law — disclose that Content, as described in our Privacy Policy. We may remove Content, and suspend or terminate accounts, that violate this section, without prior notice where we reasonably believe delay would cause harm.

We do not proactively read every message, but we log all Alerts, use automated checks to detect abuse patterns, and act on reports from users, Scanners, or law enforcement. We have zero tolerance for content that endangers child safety and will report such content to the National Crime Records Bureau's Cyber Crime portal and relevant authorities without exception.


16. Fraud prevention & account integrity

We run automated and manual checks to protect the Platform against fraud and abuse, including (without limitation) fake accounts, identity theft, QR duplication, submission flooding, suspicious-location patterns, repeated OTP failures, and API scraping. We may, at our discretion and without prior notice where risk requires it:

  • Require additional verification (including CAPTCHA challenges) before allowing an action to proceed.
  • Rate-limit or temporarily block a phone number, device, or IP address.
  • Flag an Alert or account for manual administrative review.
  • Suspend or permanently ban an account, Scanner identity, or device from the Platform.
  • Reverse a transaction, void a Subscription benefit, or withhold a payout obtained through fraud.
  • Report the activity to the relevant authorities, including under Section 29.

You agree not to reverse-engineer, decompile, scrape, or use automated means to access the Platform outside of any officially published API (Section 23); not to introduce malware, or attempt to gain unauthorised access to any account, server, or system underlying the Platform; and not to circumvent any rate limit, block, or security control we apply. Doing so is a material breach of these Terms and may violate the Information Technology Act, 2000.


17. Referral, BD, Partner, Influencer, Advertiser & Fleet Programs

Vtag operates several programs for individuals and businesses who refer customers, resell Vtag, advertise on our behalf, or manage vehicle fleets: the Referral Program, the Business Development (BD) Program, the Partner Program, the Business Partner Program, the Influencer Program, the Advertiser Program, and the Fleet Program (together, "Programs").

Enrolment in any Program is governed by these Terms and, where applicable, a separate program-specific agreement — including our Partner Program Terms — which takes precedence over this section for that Program in the event of conflict. The following applies to every Program unless its specific agreement says otherwise:

  • Commission, bonus, and payout structures are disclosed at enrolment and may change prospectively with notice; changes do not claw back amounts already earned under the prior structure.
  • Participation does not create an employment, agency, partnership, or joint-venture relationship with Vtag. A Program Participant is an independent contractor and is solely responsible for their own tax obligations on any commission or payout received.
  • A Program Participant must not misrepresent Vtag's products, pricing, or affiliation; must not make promises about the Platform we have not made ourselves (including implying Vtag is an insurance, security, or emergency-dispatch product, contrary to Section 4); and must comply with all applicable advertising and consumer-protection law, including the Consumer Protection Act, 2019 and its rules on misleading advertisements.
  • We may suspend or terminate a Program enrolment, and withhold or reverse unpaid or disputed commission, for breach of this section, fraud, self-referral abuse, or conduct that damages the Vtag brand.

18. Intellectual property

The Vtag name, logo, "Your Vehicle Has a Voice" tagline, and all associated brand assets are trademarks of Vtag Connect Private Limited, whether or not registered. The Platform's software, design, source code, and documentation are our proprietary property or licensed to us, and are protected under the Copyright Act, 1957, the Trade Marks Act, 1999, and applicable international treaties.

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for its intended purpose. This licence does not grant you any right to copy, modify, distribute, sell, sublicense, reverse-engineer, or create derivative works from any part of the Platform, or to use the Vtag name, logo, or brand assets without our prior written consent — including in a Program Participant's own marketing beyond what we expressly authorise.

If you believe content on the Platform infringes your copyright or trademark, write to grievance@getvtag.com with enough detail to identify the material and your rights in it; we will investigate and respond within the timelines in our Grievance Officer page.


19. Third-party services & integrations

The Platform relies on third-party infrastructure and services to operate, including payment processing (Razorpay), SMS and voice delivery, WhatsApp messaging (via Meta's WhatsApp Business Platform), transactional email, cloud hosting, and content delivery. Each of these providers operates under its own terms and privacy practices, which we do not control. We select these providers carefully and require appropriate security commitments from them, but we are not liable for their outages, errors, security incidents, or policy changes, except to the extent caused by our own failure to properly configure or use their services.


20. Privacy & data protection

Our Privacy Policy explains in full what Personal Data we collect from Owners and Scanners, why, how long we retain it, and your rights under the DPDP Act, and is incorporated into these Terms. In summary, as relevant to these Terms:

  • A Scanner's name, mobile number, device, and IP information are collected for verification and abuse-prevention purposes, are visible only to authorised Vtag administrators, and are never shown to the Owner.
  • An Emergency Alert selfie and location, where provided, are shared only with the Owner and their registered emergency contacts, and only after explicit consent, as described in Section 14.
  • We process Personal Data on the legal bases available under the DPDP Act, principally your consent and our legitimate interest in operating a safe, fraud-resistant Platform.
  • You may exercise your data-access, correction, and deletion rights as described in the Privacy Policy and our Data Deletion page.

21. Security

We use industry-standard technical and organisational measures to protect data on the Platform, including encryption in transit and at rest, access controls, and audit logging. No system is completely secure, and we cannot guarantee that unauthorised access, disclosure, or loss of data will never occur. If we become aware of a data breach affecting your Personal Data, we will notify you and the relevant authorities as required by applicable law. You are responsible for keeping your account PIN and any device you use to access the Platform secure. If you discover a security vulnerability, please report it responsibly to support@getvtag.com rather than exploiting or publicly disclosing it before we have had a reasonable opportunity to fix it.


22. Artificial intelligence features

Where the Platform offers any AI-assisted feature (for example, automated triage of Alert severity, drafting assistance, or fraud-signal scoring), that feature is assistive only. It does not make final, unreviewable decisions about your account, an Alert, or a Program payout without a human review path, and its output can be inaccurate or incomplete. We will disclose clearly, at the point of use, when a feature is AI-assisted. You should not treat AI-generated output as professional advice of any kind (legal, medical, safety, or otherwise), and Section 24's disclaimers apply fully to any AI-assisted feature.


23. API access & developer use

We do not currently offer public API access. If and when we do, API use will require separate registration and will be governed by a Developer Agreement covering rate limits, permitted use cases, data handling obligations, and revocation rights, in addition to these Terms. Attempting to access Platform functionality programmatically outside of an officially issued API key is prohibited under Section 16.


24. Disclaimers & no warranty

To the maximum extent permitted by law, the Platform is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, timely, secure, or error-free, that Alerts will be delivered or acted upon, or that any product will meet your expectations. Nothing in this section limits any statutory right you hold as a consumer under the Consumer Protection Act, 2019 that cannot lawfully be excluded by agreement.


25. Limitation of liability

To the maximum extent permitted by law, Vtag's total liability to you for any claim arising out of or relating to these Terms or the Platform, whether in contract, tort, or otherwise, is limited to the amount you paid us for the specific product giving rise to the claim in the 12 months before the claim arose. Vtag is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, goodwill, or the vehicle or property the Alert related to, even if we were advised of the possibility of such loss.

This limitation does not apply to liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by our gross negligence, or liability arising from our fraud or wilful misconduct.


26. Indemnification

You agree to indemnify and hold Vtag, its officers, directors, employees, and agents harmless from any claim, liability, damage, loss, or expense (including reasonable legal fees) arising out of: your breach of these Terms or the Policies; your misuse of the Platform, including submitting false information or a false Emergency Alert; an Owner's breach of Section 7, including attempting to unmask or retaliate against a Scanner; Content you submit; your violation of any law or third-party right; or your registration of a vehicle you were not authorised to register.


27. Force majeure

We are not liable for any failure or delay in performing our obligations where that failure or delay results from circumstances beyond our reasonable control, including natural disasters, pandemics, war, civil unrest, government action, strikes, internet or telecommunications outages, power failures, or the failure, outage, or policy change of a third-party service we depend on (including WhatsApp, SMS carriers, courier partners, or payment processors).


28. Suspension & termination

You may stop using the Platform, cancel a Subscription, or request account deletion at any time through your dashboard or by emailing support@getvtag.com, subject to our Data Deletion process.

We may suspend or terminate your account, a Tag, or Program enrolment, with or without notice where warranted by risk, for: breach of these Terms or the Policies (including Section 7's Owner obligations); fraud or suspected fraud; non-payment after the grace period in Section 9; conduct that endangers another user, a Scanner, or the public; or a valid legal or regulatory demand. Where we terminate for reasons other than your breach, we will honour any refund due under our Refund Policy for the unused portion of a Subscription. Sections 18, 20, 25, 26, and 31 survive termination, along with any other provision that by its nature should survive.


29. Law enforcement & regulatory cooperation

We disclose Personal Data or Content to police, courts, or regulators only where required by a valid legal process (such as a court order or a request under the Code of Criminal Procedure / Bharatiya Nagarik Suraksha Sanhita, 2023) or where necessary to protect the safety of a user, Scanner, or the public in a genuine emergency. Where legally permitted to do so, we will make reasonable efforts to notify the affected account holder that a disclosure was made.


30. Changes to these terms

We may update these Terms from time to time to reflect new products, legal requirements, or operational changes. We will post the updated Terms with a new "Last updated" date and, for material changes — including any change to pricing structure, cancellation rights, or liability terms — notify active Account Holders by email or in-app notice before the change takes effect. Continued use of the Platform after a change takes effect constitutes acceptance of the updated Terms; if you do not agree, you should stop using the Platform and, where applicable, cancel your Subscription before it next renews.


31. Governing law, jurisdiction & dispute resolution

These Terms are governed by the laws of India. Subject to the arbitration clause below, the courts at Hyderabad, Telangana have exclusive jurisdiction over any dispute arising out of or relating to these Terms.

Before filing any claim, please try to resolve the issue with us informally by writing to support@getvtag.com — most disputes are easier to fix than to litigate. If we cannot resolve a dispute informally within 30 days, either party may refer it to arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator appointed by mutual agreement (or, failing agreement, appointed in accordance with that Act), seated in Hyderabad, conducted in English. The arbitrator's award will be final and binding on both parties, subject to any right of appeal available under that Act.

Your consumer rights are not affected

If you are a consumer under the Consumer Protection Act, 2019, this arbitration clause does not take away your right to approach a Consumer Disputes Redressal Commission instead of, or in addition to, arbitration, to the extent that right cannot lawfully be waived by agreement.


32. General provisions

Severability

If any provision of these Terms is found unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will stay in full effect.

Entire agreement

These Terms, together with the Policies referenced in Section 1 and any Program-specific agreement you have accepted, constitute the entire agreement between you and Vtag regarding the Platform, and supersede any prior agreement or understanding on the same subject.

Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganisation, or sale of assets, provided the assignee agrees to honour these Terms.

Waiver

Our failure to enforce any provision of these Terms is not a waiver of our right to enforce it later.

Notices

We may send you notices under these Terms by email, SMS, WhatsApp, or in-app notification, to the contact details associated with your account. Notices to us should be sent to the relevant address in Section 33.

Relationship between documents

If a Policy or Program-specific agreement conflicts with these Terms on a matter it specifically governs (for example, the Refund Policy on refund amounts, or the Partner & Advertiser Terms on commission), that more specific document controls. On every other matter, these Terms control.
